Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Pipeflow LLC ("Pipeflow," "we," "us") governing your use of the Pipeflow application at pipeflowhub.com and any related services (the "Service").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract. If you use the Service on behalf of a brokerage, team, or other organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at support@pipeflowhub.com if you believe your account has been compromised.
2. Organizations, roles, and visibility
Pipeflow is built for brokerages and teams. Accounts belong to an organization, and organizations have roles — such as agent, team lead, and owner — that determine what a person can see and change.
If you join an organization, the organization's owners and your team leads may be able to view records you create within it. Your connected mailbox and your sent mail are scoped to your own account. Do not store information in Pipeflow that you are not permitted to share with your organization.
3. Your content
You own your content. Deals, contacts, notes, tasks, messages, files, and other material you enter or that Pipeflow derives from your connected mailbox ("Customer Data") remain yours.
You grant us a limited, non-exclusive license to host, store, process, transmit, and display Customer Data solely to provide and support the Service, and as described in our Privacy Policy. We do not use Customer Data to train machine learning models, and we do not sell it.
You are responsible for the legality of your content. You represent that you have the right to enter Customer Data into the Service, including personal information about clients, counterparties, and other third parties, and that doing so does not violate any law, contract, brokerage policy, MLS rule, or duty of confidentiality that applies to you.
4. Connected mailboxes
Connecting a Google or Microsoft mailbox is optional. If you connect one, you authorize Pipeflow to access it as described in the Privacy Policy, and you confirm you are entitled to grant that access — including where the mailbox is provided by your brokerage or employer.
Pipeflow sends messages only from a mailbox you have connected, only at your instruction, and only from your own account. You are responsible for the content of anything you send through the Service, including messages you compose with assistance from Pipeflow's drafting features.
You may disconnect a mailbox at any time.
5. Artificial intelligence features — important
Pipeflow uses automated systems, including third-party large language models, to read connected mailboxes, identify referrals and deal information, generate suggestions, draft records and messages, and respond to commands in the in-app assistant.
You must understand and accept the following:
- Output can be wrong. Suggestions, extracted details, drafted deals, notes, tasks, and messages may be inaccurate, incomplete, misattributed, or fabricated. Do not treat them as verified facts.
- You are responsible for review. You are solely responsible for reviewing any AI-generated content before relying on it, acting on it, entering it into your records, or sending it to anyone.
- The assistant makes changes immediately. Where you instruct the in-app assistant to modify records, it applies those changes without a separate approval step. A time-limited undo is provided. You are responsible for what you instruct it to do.
- Not professional advice. Nothing produced by the Service is real estate, legal, tax, financial, or brokerage advice. Pipeflow is not a licensed real estate broker, attorney, or financial adviser, and the Service does not create any professional or fiduciary relationship.
- Not a system of record for compliance. Do not rely on the Service as your sole record for any regulatory, licensing, escrow, or audit obligation.
6. Acceptable use
You may not:
- Use the Service in violation of any law, regulation, MLS rule, or brokerage policy applicable to you
- Access a mailbox, account, or organization you are not authorized to access
- Send unsolicited bulk email, spam, or messages that violate the CAN-SPAM Act or comparable law
- Upload malicious code, attempt to breach security, probe for vulnerabilities, or interfere with the Service's operation
- Attempt to circumvent access controls, rate limits, or usage quotas
- Reverse engineer, decompile, or scrape the Service except where that restriction is prohibited by law
- Resell, sublicense, or provide the Service to third parties as a service bureau without our written agreement
- Use the Service to build a competing product
- Use the Service to store or process data you are prohibited from storing or processing
We may suspend or terminate access for conduct that violates this section or that we reasonably believe creates risk or legal exposure.
7. Service status, availability, and changes
The Service is provided on an evolving basis. Features may change, be added, or be removed. We do not currently offer a service level agreement or an uptime guarantee. The Service may be unavailable for maintenance, updates, or reasons beyond our control, including failures of third-party providers such as our hosting, database, mail, or language model vendors.
Where you access the Service before general availability — including any preview, beta, or early access — you accept that it may contain defects, that features may change without notice, and that data loss is possible. Maintain your own records.
8. Fees
The Service is currently provided free of charge. We may introduce fees in the future and will give you notice before charging you.
9. Third-party services
The Service integrates with third-party services including Google, Microsoft, and mapping and geocoding providers. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability, behavior, or terms may change in ways that affect the Service.
10. Intellectual property
The Service, including its software, design, and content other than Customer Data, is owned by us and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. No other rights are granted.
Feedback you provide about the Service may be used by us without restriction or obligation to you.
11. Termination
You may stop using the Service and request account deletion at any time.
We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if continuing to provide the Service to you would create material risk. Where practical we will give notice.
On termination, your right to use the Service ends. Deletion of your data is handled as described in the Privacy Policy. Sections 3, 10, 12, 13, 14, and 15 survive termination.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that any output — including AI-generated output — will be accurate, complete, or reliable. We do not warrant that the Service will meet any regulatory, licensing, or record-keeping requirement applicable to you.
Some jurisdictions do not allow the exclusion of certain warranties; those exclusions may not apply to you.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, COMMISSIONS, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
These limitations apply to the fullest extent permitted by law, and some jurisdictions do not allow certain limitations, so parts may not apply to you.
14. Indemnification
You will indemnify, defend, and hold harmless Pipeflow and its officers, members, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of or relating to: your Customer Data; your use of the Service; your violation of these Terms or applicable law; your violation of any duty of confidentiality, brokerage policy, or MLS rule; or any message you send through the Service.
15. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. You and we agree to the exclusive jurisdiction of the state and federal courts located in Albany County, New York, and each party waives any objection to venue there.
16. General
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject.
Changes. We may update these Terms. If we make a material change, we will update the "Last updated" date and provide notice within the Service. Continued use after a change takes effect constitutes acceptance.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Severability. If a provision is held unenforceable, the remainder stays in effect and the unenforceable provision is modified to the minimum extent necessary.
No waiver. Our failure to enforce a provision is not a waiver of it.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
